Terms of Service
Last updated: July 16, 2026These Terms of Service (the “Terms”) govern access to and use of ZhiShip 智运 (the “Service”), a business-to-business shipping management platform operated by DUI Cloud (“we”, “us”, “our”). By accessing or using the Service you agree to these Terms on behalf of yourself and the organization you represent.
1. The Service
The Service lets business customers compare carrier shipping rates, generate shipping labels, upload orders in bulk, track shipments, and manage team access, prepaid balance, and statement reconciliation. Carriers such as UPS, FedEx, and USPS perform the physical transportation of shipments; the Service is a software platform.
2. Accounts and Access
- Accounts are created by invitation from a workspace administrator.
- You are responsible for keeping your credentials confidential and for all activity under your account.
- Administrators are responsible for the access levels they grant to team members.
- Notify us promptly of any unauthorized use of your account.
3. Acceptable Use
- Use the Service only for lawful business purposes and in compliance with applicable laws and regulations.
- Comply with the terms, tariffs, and prohibited-items rules of the carriers you ship with.
- Provide accurate shipment, customs, and recipient information; you are responsible for the consequences of inaccurate declarations.
- Do not attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service.
4. Shipping and Carriers
Transportation services are provided by the carriers under their own terms and liability rules. Rate quotes shown in the Service are provided by carriers and may be adjusted by the carrier after acceptance (for example for dimensional weight corrections). Duties, taxes, and customs compliance are the responsibility of the shipper.
5. Fees and Balance
- Shipping charges are deducted from your prepaid account balance at the time a label is generated.
- All balance activity is recorded in your transaction ledger, visible in the dashboard.
- Carrier adjustments and refunds are applied to your balance through the reconciliation process.
6. Intellectual Property
The Service, including its software, design, and content, is owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations.
7. Disclaimers
The Service is provided “as is” and “as available”. We do not warrant that the Service will be uninterrupted or error-free, or that carrier rates, transit times, or tracking events are guaranteed, as these originate from third-party carriers.
8. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data. Our aggregate liability arising out of the Service is limited to the platform fees you paid to us in the three months preceding the claim.
9. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, unlawful use, or risk to the Service or other customers. Upon termination you may request an export of your data within 30 days.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised “Last updated” date; continued use of the Service constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.
